Master Services Agreement and Terms of Service

The contract that governs access to the Petrazim training platform: licensing, seats, availability, support and liability.

Petrazim Solutions Ltd · Lagos, Nigeria · Last updated 17 September 2026

1. 1. Who this agreement is between

This agreement is between Petrazim Solutions Ltd ("we", "us") and the organisation or individual that purchases access ("you", "the Client"). Where an organisation buys seats, the organisation is the Client and each person who signs in under those seats is an Authorised User bound by these terms.

Creating an account, redeeming an access code, or paying for a plan means you accept this agreement. A signed order form or corporate purchase order sits on top of these terms; where the two conflict, the signed order form wins for that client only.

2. 2. What we provide

We provide hosted access to our own pre-built capability programme of ten training pillars, together with practice tools, review scheduling, assessments, facilitator-led sessions, certificates and progress reporting. The programme content is ours; you receive access, not ownership.

You do not upload or author courses on the platform. Where you supply organisational information for reporting, rosters or proposals, you keep ownership of that information and grant us only the rights needed to run the service for you.

3. 3. Licence, seats and account use

  • Access is licensed per named individual for the period stated at purchase. It is not a transferable or shared licence.
  • Corporate purchases are counted in seats. One seat equals one named Authorised User. Seats may be reassigned when a person leaves the organisation; they may not be used by two people at once.
  • Access codes, promotional passes and seat codes are issued to a named recipient and are void if resold, published, or shared beyond the purchasing organisation.
  • You are responsible for keeping sign-in credentials confidential and for activity carried out under your account.
  • We may suspend an account where we detect credential sharing, automated scraping of programme content, or attempts to bypass the access gate.

4. 4. Availability and support

We operate the platform on a best-efforts basis and aim to keep it available at all times. We do not currently offer a numeric uptime guarantee or service credits, and none should be inferred. Planned maintenance is scheduled outside Nigerian business hours wherever practical.

Support is by email during Nigerian business hours, Monday to Friday. We aim to acknowledge every request within one business day. Facilitator sessions run to the published weekday cycle; if a session cannot go ahead we offer the next available slot in the cycle.

5. 5. Acceptable use

You and your Authorised Users must not:

  • Copy, record, republish, resell or use programme content to build a competing training product.
  • Upload or transmit malicious code, or attempt to probe, scan or breach platform security.
  • Submit content that is unlawful, defamatory, discriminatory, obscene, or that infringes anyone's intellectual property or privacy.
  • Use the AI tutor, coach or recap features to generate content that misrepresents the programme or breaches applicable law.
  • Interfere with other users' access, or place unreasonable automated load on the service.

Serious or repeated breach allows us to suspend or terminate access immediately, without refund.

6. 6. Intellectual property

All programme material, slide content, frameworks, assessments, games, branding and platform code remain the property of Petrazim Solutions Ltd. Certificates confirm completion; they do not transfer any rights in the material. Your organisation's name and logo may be used in a client list only with your written consent.

7. 7. Term, renewal and termination

Access runs for the period bought and ends automatically when that period expires unless renewed. When access expires, learning surfaces lock but completed progress, certificates and booked session records are preserved.

Either side may terminate for material breach that is not cured within fifteen days of written notice. We may terminate immediately for unlawful use or non-payment.

8. 8. Warranties and limitation of liability

The programme is professional education, not professional advice. Decisions you or your people take in your business remain yours. We give no guarantee of specific commercial, financial or employment outcomes.

To the fullest extent permitted by law, neither party is liable for indirect, incidental or consequential loss, loss of profit, revenue, goodwill or data. Our total aggregate liability under this agreement is limited to the fees you paid us in the twelve months before the claim arose. Nothing in this agreement limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot lawfully be limited.

9. 9. Confidentiality

Each side keeps the other's non-public information confidential, uses it only to perform this agreement, and protects it with at least the care it applies to its own confidential information. This obligation survives termination by three years.

10. 10. Changes to these terms

We may update these terms to reflect new features or legal requirements. Material changes are announced on this page with a new effective date, and for corporate clients by email at least thirty days before they take effect.

11. Governing law and disputes

Petrazim Solutions Ltd is registered in Lagos, Nigeria. For clients contracting in Nigeria, this agreement is governed by the laws of the Federal Republic of Nigeria and the courts of Lagos State have exclusive jurisdiction. For clients contracting outside Nigeria, this agreement is governed by the laws of England and Wales and the courts of England and Wales have exclusive jurisdiction.

Before starting proceedings, both sides agree to raise the issue in writing and allow thirty days for a good-faith resolution.
